This updated and expanded second edition of Corporate Finance and Governance builds on what the authors set out to accomplish in their first edition by retaining the best of the original cases while adding a number of new cases that exemplify developing legal principles and styles of analysis. In addition, they have included an unusual number of excerpts from important contemporary scholarship on the corporate law problems that lawyers will be facing in the next century. Chapter 3, "Valuation," has been substantially revised to provide a lucid and flowing explanatory text, punctuated by illustrative cases and instructive problems. A new section on the increasingly important subject of financial derivatives has also been added.

The book includes numerous practical exercises, including policy- and theory-oriented problems, such as analysis of proposals for bondholder rights legislation and the rule of new stakeholder statutes.

This second edition is accompanied by a teacher's manual that both explains the authors' intentions in selecting the materials and designing the problems and provides answers, or analytical frameworks, for many of the problems and questions included in the textbook.
