Corporations: Law and Policy: Materials and Problems, by Professors Solomon, Schwartz, Bauman and Weiss, is not a book for the instructor whose approach is to march students through the leading cases. But if you want to expose your students to the richness and complexity of corporate law, this may be the book for you.

The Third Edition has been carefully crafted to facilitate the instructors task. Cases have been painstakingly edited. Extensive note material provides students with necessary background information. Materials have been rethought and reorganized to reflect changing trends and new judicial developments.

There are features of the Third Edition that are of particular interest. Each chapter includes a problem designed to provide a focus for class discussion. Many of the problems place students in the role of corporate planners, rather than litigators, and allow the instructor to highlight for students the real-world impact of doctrinal uncertainty as concerns, for example, the scope of the director's duty of care.

The organization of the book reflects the growing importance, both doctrinally and structurally, of the business judgment rule. This early discussion of the business judgment rule facilitates discussion, at later stages, of how they rule, for example, affects the choice of organizational form and creates a need for more elaborate governance mechanisms in close corporations.

The chapter on corporate capital structure, by focusing on the fundamental differences between debt and equity, allows the instructor to introduce students to basic concepts of corporate finance without becoming bogged down in unnecessary elaboration and distracting detail. It also facilitates discussion of the close relationship between capital structure and governance issues.

Rather than combine all materials relating to the federal proxy rules in a single chapter, the authors have reorganized them to reflect recent trends in the case law and in discussions of corporate governance issues. One chapter discusses proxy solicitation and shareholder proposals in connection with materials relating to collective action problems, shareholder voting, and the growing prominence of institutional investors, while another combines discussion of the Supreme Court's proxy fraud decisions, with Rule 10b-5 cases to which they most naturally relate.
